(The Articles were passed in the Second Membership Conference in Hong Kong on Mar. 1, 2008)
General Principles
Article One: The Association is named "国际教育协会", the English name is “Association of International Education”.
Article Two: Association of International Education (short for Association) is an organization in education industry established according to law after being approved by Institution of Management of the Registration of Social Organizations of the country of Association with the independent qualification of a legal person.
Article Three: The Mission of Association: To strengthen international communication and cooperation, devote itself to develop global education, and promote the progress of society. Comply with the Constitutions, laws, regulations, policies and social ethics of different countries.
Article Four: The Association implements of the organizational principle of democratic centralism-The working principle is getting close to education and students, providing professional and attentive services for students and promoting the development of global education.
Business Scope
Article Five: Business Scope of the Association:
(a) Implement international relevant principles, policies; formulate norms, lines which are eligible to the development of industry; establish self-regulatory mechanism; guide the industry to discipline self-behaviors and promote the equal competition; improve the overall quality of industry; protect the overall benefit of the industry.
(b) Do research on the major issues and hot topics during the development of the industry and propose suggestions to international relevant departments. Make policies for reference for the Governments of the countries. Assist the Governments to improve the development of education, sponsoring the matters commissioned by relevant departments of the Governments.
(c) Monitor the operations of the industry and assist the Governments to develop recognition activity of industry and other activities.
(d) Develop academic research; pay attention to industry trends, grasp the release of information, timely promote the new projects, new technology, new achievements and new courses.
(e) Organize appraisal activity through comparison of industry, conferences and briefings of related educational products.
(f) Organize forums, seminars, exchanges, and trainings.
(g) Collect and arrange professional information in the world, compile and distribute information of the industry.
(h) Timely establish the managerial entity and carry out professional consultation service and intermediary service.
(i) Strengthen links between industries in the world, organize the communication and visit of education of the countries, and actively participate in global industry activities.
(j) Organize the communication and collaboration between members, within the industry, and related industries, and promote the simultaneous development between the industry and other industries.
(k) Reflect the desire of members to safeguard their legitimate rights and interest, and provide them with relevant services.
Membership
Article Six: Membership of the Association is composed of group members and individual members.
Article Seven: Applying for joining the members of the Association must meet the following requirements:
(a) Recognize and support the Articles of Association.
(b) Have desire to join the Association.
(c) Have a good reputation within the industry.
(d) Have been the student of Association of International Education and have participated in the relevant training of Association of International Education.
(e) Individuals in all areas, enterprises and related organizations.
Article Eight: Those celebrities who are enthusiastic about education and promote the cooperation of international education can be directly employed by the General Council as Honorary Members.
Article Nine: The procedures of membership:
(a) Submitting application form and relevant supporting documents.
(b) Become unit members and individual members after the discussion of Secretariat of the Association.
(c) The Secretariat of the Association issues Membership Card.
Article Ten: Members of the Association have the following rights:
(a) The right to elect, to be elected, and to vote.
(b) Participate in activities organized by the Association.
(c) The priority to services of the Association.
(d) For the work of the Association, the right to supervise, criticize and make suggestions.
Article Eleven: Members shall carry out the following obligations:
(a) Implement the resolution of the Association.
(b) Protect the legitimate rights and interests of the Association.
(c) Complete the assigned work of the Association.
(d) Prompt payment of Membership fees according to the regulations.
(e) Reflect information to the Association initially; submit academic papers, technical data or related information.
(f) Make plans for the development of the Association actively.
(g) Members shall pay membership fee on due and attend meetings on time, if anyone who hasn’t paid fees for six months exceeding the prescribed period or hasn’t participated in activities organized by the Association are regarded as automatic withdrawal.
Article Twelve: Members should inform the Secretariat of Association in writing and return the membership card for withdrawal.
Article Thirteen: The General Council gives recognition to the members or grant honorary titles according to the following conditions:
(a) Having outstanding achievements in promoting reform and development of the industry.
(b) Having outstanding achievements in professional teaching and training.
(c) Make plans positively for the Association and achieve significant results.
(d) Having outstanding contributions on the promotion of global education industry.
Article Fourteen: Anyone who breaks one of the following regulations must be removed of his membership qualification by the Council after discussion:
(a) Violate the laws and regulations of the country of Association and commit a crime.
(b) Serious illegal behavior with adverse effects.
(c) Violate the Articles of Association badly and affect the credibility and work of the Association.
(d) Damage to the interests of Association and undermine the Association's image.
Generation and Removal of Organizations and Persons in Charge
Article Fifteen: The most powerful authority of the Association is Member Representative Congress. The functions and powers of Member Representative Congress:
(a) Formulate and modify the Articles of Association.
(b) Responsible for the election and removal of Directors.
(c) Deliberate the work report and financial report the Council.
(d) Decide work policy and major issues of Association.
(e) Decide termination of matters of Association.
Article Sixteen: Member Representative Congress could be held when there are more than two thirds of the whole Member Representatives present and the resolutions shall come into force passing more than half of the Member Representatives’ votes.
Article Seventeen: Term of office of Member Representative Congress is two years. The change in advance or delay due to special circumstances can be available after being voted through by the Council and report to Business Department of the country of Association and then approved by Institution of Management of the Registration of Social Organizations. But the delay of the change upon completion of a term of office cannot be longer than one year.

Article Nineteen: Authorities of the Council:
(a) Exercise resolution of the Member Representative Congress.
(b) In charge of the election and removal of the Chairman, Vice Chairman, Secretary-General, and the Executive Directors.
(c) Prepare to convene the Member Representative Congress.
(d) Do work report and financial report to the Member Representative Congress.
(e) Decide the establishment of offices, branches, representative offices and entity institutions.
(f) Decide the appointment of Deputy Secretary-General and the chief persons in charge of the institutions.
(g) Make work plans of Association and lead the institutions of Association to develop work.
(h) Formulate internal management system.
(i) Decide other important issues.
Article Twenty: The Council could be held when there are more than two thirds of the whole Directors present and the resolutions shall come into force after passing more than two thirds of the Directors’ votes.
Article Twenty-one: The Council convenes a meeting at least once a year and it also can be held in the form of communication under special circumstances.
Article Twenty-two: The Association sets up the General Council which is elected by the Council. During the inter-sessional period of the Council, the General Council presided over the daily work of the Association and should be responsible for the Council. The duties are as follows:
(a) Exercise the authorities of the first, third, fifth, sixth, seventh, eighth, ninth items of Article Twenty.
(b) Propose the motions and work plans needed to be discussed by the Council.
(c) Guide the work of Secretariat of the Association.
(d) Engage Honorary Chairman, Consultants, and Honorary Directors.
Article Twenty-three: The General Council could be held when there are more than two thirds of the Executive Directors present and the resolutions shall come into force after passing more than two thirds of the Executive Directors’ votes.
Article Twenty-four: The General Council convenes a meeting at least once half a year. Under special circumstances it can be held in the form of communication.
Article Twenty-five: The Executive Directors must attend the meeting on time, anyone who are absent from the meeting for three consecutive times is regarded as waiver eligibility.
Article Twenty-six: The Association appoints a Chairman, several Vice Chairmen, and a Secretary-General. The Chairman, Vice Chairman, and Secretary-General shall meet the following conditions:
(a) Internationally recognized and have a certain reputation in the field of education.
(b) Familiar with the education industry and have made outstanding contributions to the Association.
(d) Generally, Chairman, Vice Chairman, Secretary-General shall not exceed the maximum official age of 60 years old.
(e) Healthy enough to work normally.
(f) Having full civil capacity.
Article Twenty-seven: If the Chairman, Vice Chairman, or Secretary-General is over the maximum age of the position, he or she can be is available to hold a post after being voted through by the Council and then report to Business Department and get approved by Institution of Management of the Registration of Social Organizations.
Article Twenty-eight: Each term of office for the Chairman, Vice Chairman, and Secretary-General is two years.
Article Twenty-nine: The Chairman serves as the legal representative of Association and can not work as legal representative of other social organization.
Article Thirty: The Chairman exercises the following authorities:
(a) Convene and preside over the Council (or Executive Council).
(b) Check the implementation of resolution of the Congress, the Council (or Executive Council).
(c) Host the daily work of Association.
(d) Sign relevant important documents on behalf of Association.
Article Thirty-one: The Secretary-General exercises the following authorities:
(a) Develop routine work under the leadership of the Chairman and organize and implement the annual work plan.
(b) Coordinate the branches, representative offices, entity institutions to develop work.
(c) Nominate Deputy Secretary-General and the persons in charge of the offices, branches, representative offices and entity institutions and submit to the Council or Executive Council.
(d) Propose the employment of offices, representative offices, entity institutions, and full-time working staff.
(e) Handling other routine matters.
Article Thirty-two: The Chairman, Vice Chairman, Secretary-General must submit activity report to the Executive Council each year and the report will be deliberated by the latter. Anyone who doesn’t pass the deliberation more than twice is disqualified to be the next leadership candidate.
Assets Management and Principles of Use
Article Thirty-three: The origin of funds of the Association
(a) Membership fees.
(b) Donations.
(c) Income of activities or services undertaken within the approved scope of business.
(d) Interest.
(e) Other legitimate income.
Article Thirty-four: Association collects Membership fees according to the Relevant Provisions of International Organizations.
Article Thirty-five: The Association Funds must be used for the scope of business formulated by the Articles and the career development and must not be distributed or misappropriated among the members.
Article Thirty-six: Association has established a strict financial management system to ensure that accounting information is legitimate, real, accurate and complete.
Article Thirty-seven: Association is equipped with qualified accounting personnel, and the accountant can not serve as cashier. Accountant must do accounting checks and calculations as well as accept accounting supervision. If the accounting personnel reassigns or quits, he or she must go through the handing-over procedures for another to take over.
Article Thirty-eight: The Assets Management of the Association must comply with the State's Financial Management System, and accept
the supervision of Member Representative Congress and Financial Sector. For the assets origin belonging to national funding or social donations, it should be
subject to the supervision of Audit Institutions, and announce the information to the public in an appropriate manner.
Article Thirty-nine: Before the general election or the
replacement of the legal representative, it should be subject to Financial Audit of Business Department and Institution of Management of the Registration of
Social Organizations of the country of Association.
Article Forty: Any unit or individual must not embezzle or misappropriate the assets of the Association.
Emblem
Article Forty-one: The Association owns an independent emblem.
Supplementary Articles
Article Forty-two: The Regulations were voted through at the First Session of the Second Member Representative Congress on March 1, 2008.
Article Forty-three: The Council of the Association reserves the right of interpretation of the Regulations.
Article Forty-four: The Regulations come into effect since the date of being approved by Institution of Management of the Registration of Social Organizations.
Article Forty-five: Amendment of the Regulations must be submitted to Member Representative Congress for deliberation after
being voted through by the Council. The revised regulations will come into effect after being submitted to the relevant department, examined by Business
Department of the country of Association and then approved by Institution of Management of the Registration of Social Organizations within 15 days after
being voted through by the Member Representative Congress.
